FRIDGES WORLD — TERMS & CONDITIONS OF SALE & WARRANTY POLICY

Business-to-Business (B2B) Transactions Only. All sales are to professional/commercial customers. Consumer cancellation rights under the Consumer Contracts Regulations 2013 do not apply.
By placing an order, the Buyer acknowledges and accepts these Terms & Conditions in full.


1. DEFINITIONS

  • Company / Fridges World: The seller of goods and services under this contract.

  • Buyer: The commercial customer placing the order.

  • Goods: Refrigeration equipment and related items supplied by the Company.

  • Custom-made Goods: Bespoke units manufactured to the Buyer’s measurements/specification.

  • Made-to-Order Standard Goods: Factory products (e.g., Arneg) ordered to the Buyer’s specification.

  • In-Stock Goods: Items held in UK stock for immediate or near-term dispatch.


2. PAYMENT TERMS

  • 70% deposit to confirm order and commence production.

  • 20% payment when goods are ready for dispatch (prior to delivery).

  • 10% final payment upon completion/installation (if installation is included).

Goods will not be delivered or released until all prior stage payments have cleared.

Late/Non-Payment Remedies:

  • The Company may suspend delivery, apply storage fees, or cancel the order if payments are late.

  • Storage fee: £50 + VAT per item per week (or the Company’s actual commercial storage cost, whichever is higher).

  • If any unpaid sum remains outstanding 14 days after written notice, the order is deemed cancelled by default; all sums paid are forfeited toward production, storage, and admin costs.

  • Interest on overdue invoices accrues at 8% per annum above the Bank of England base rate (Late Payment of Commercial Debts legislation).


3. PRICING & QUOTATIONS

  • Prices are exclusive of VAT and may vary due to raw material or currency movement.

  • Quotations are valid for 14 days unless otherwise stated in writing.


4. PRODUCT CATEGORIES & CANCELLATION POLICY

4.1 Custom-Made Goods (Bespoke)

  • Non-cancellable & non-refundable once production has commenced.

  • Cancellation only within 2 working days of order confirmation if production has not started.

  • Failure to pay the 20% or 10% stages allows the Company to withhold, resell or repurpose goods; any deposit is retained to cover incurred costs.

  • If the Buyer refuses to complete payment or accept delivery after notification that goods are ready, the order is automatically cancelled after 14 days; all sums paid are forfeited.

4.2 Made-to-Order Standard Goods (e.g., Arneg)

  • Non-cancellable once placed with the supplier.

  • No refunds or returns except for proven manufacturing defects under warranty.

4.3 In-Stock Goods (UK)

  • B2B only. Non-cancellable & non-refundable once dispatched.

  • Returns only if defective and reported within 48 hours with photos.

  • If the Company, at its sole discretion, accepts a non-defective return:

    • Buyer pays all return transport/insurance/redelivery, handling and storage charges, plus up to 20% restocking fee.

    • Goods must be unused, in original packaging, resaleable. Refund (if any) after inspection/approval.


5. DELIVERY, LEAD TIMES, ACCESS & FAILED DELIVERY

  • Estimated lead time for custom-made units: ~8 weeks from deposit and signed spec approval. This is an estimate, not a guarantee.

  • Delivery is kerb-side unless otherwise agreed in writing.

  • The Buyer must ensure suitable site access, authorised personnel on site, and safe unloading/positioning by certified contractors.

Inspection on Delivery: Any visible damage or discrepancy must be noted on the delivery doc and reported within 48 hours with photos. Failure to do so may waive related claims.

Failed/Refused Delivery or Unsuitable Access:

  • Goods remain non-refundable.

  • Redelivery, storage and aborted delivery charges apply.

  • Risk of the goods transfers to the Buyer once delivery is attempted.

Delivery Delays & “Time Not of the Essence”: see Clause 6 and 12.


6. DELIVERY DELAYS & COMMERCIAL ACCEPTANCE OF DELAY

  • Lead times are estimates dependent on manufacturing schedules, component availability, logistics, customs, and third-party suppliers.

  • The Company will notify the Buyer of delays and provide updated estimates.

  • The Buyer may not cancel, withhold payment, or claim compensation for delays up to 12 additional weeks beyond the estimated date.

  • If delay exceeds 12 weeks, the Company will offer:

    1. continuation to completion; or

    2. cancellation with deduction of all non-recoverable production/admin costs already incurred (minimum 50% of order value).

  • Reasonable delays do not constitute breach of contract. Time is not of the essence in this contract.


7. CONSTRUCTION, PLUMBING & ELECTRICAL WORK

  • The Company does not provide construction, plumbing, or general electrical services unless expressly agreed in writing.

  • Improper or uncertified installation voids warranty.


8. REFUNDS & RETURNS (GENERAL)

No refunds for:

  • Change of mind, third-party delays (shipping, customs, installation), incorrect specs provided by Buyer, or damage from misuse/incorrect installation.

  • Reporting a defect does not automatically authorise a return. The Company will first provide repair or replacement of defective parts under warranty. Only if repair/replacement is not reasonably possible will return/refund be considered, at the Company’s sole discretion.


9. WARRANTY TERMS (BY PRODUCT TYPE)

All units are covered by a limited parts warranty, duration defined by product type, starting from date of delivery:

9.1 Scope

  • Covers manufacturing defects/faulty components only.

  • Does not extend to installation errors, electrical supply faults, or user damage.

  • The Company coordinates service with engineers/parts suppliers as needed.

  • Warranty service is limited to repair or replacement of defective components. Full unit replacement/refund only if repair is not reasonably possible.

9.2 Service Calls & Call-Out Fees

  • Warranty does not include free on-site service.

  • All engineer call-outs, travel and labour are chargeable, regardless of warranty status.

  • If a manufacturing defect is confirmed, the replacement part is provided free under warranty; visit/labour remain payable.

  • Non-warranty causes (e.g., blocked ventilation, voltage issues, improper installation) are fully chargeable.

9.3 Exclusions

  • Misuse, negligence, poor maintenance/cleaning.

  • Electrical surges/voltage fluctuations/unstable supply.

  • Third-party or uncertified installation/service.

  • Cosmetic damage or fair wear-and-tear.

  • Use outside intended commercial indoor environment.

  • Unauthorised repairs/modifications void the warranty.

9.4 Claims Procedure

  • Provide product name & serial (if available), fault description, photos/videos.

  • The Company may inspect the product before authorising any parts/repair.

  • Unauthorised service work is not reimbursable.

9.5 Service Payment Policy

  • All service visits must be paid in advance.

  • Missed/unpaid visits are chargeable in full.

  • If engineers lack access or payment is refused, the call-out is still invoiced.


10. CLAIMS & DOCUMENTATION

  • Product claims must be submitted by email within 30 days of delivery (damage within 48 hours, with photos).

  • For approved claims, invoices must be submitted within 30 days with engineer reports and itemised documents.


11. RETENTION OF TITLE & RISK

  • Risk transfers to the Buyer upon delivery or attempted delivery.

  • Legal title remains with the Company until all sums due (including storage, call-outs, interest) are paid in full.

  • In case of insolvency, non-payment, refusal of delivery, or breach, the Company may recover, resell, or reuse goods.


12. FORCE MAJEURE

The Company is not liable for failure/delay caused by events beyond reasonable control, including: supplier/manufacturer delays, raw material shortages, transport/port congestion, customs/import restrictions, strikes/lockouts, labour shortages, pandemic, war, government action, machinery breakdown, or power failure.

  • Delivery times extend by the duration of disruption; orders cannot be cancelled nor deposits refunded during the affected period.

  • The Company will notify the Buyer and provide a revised schedule as soon as reasonably possible.


13. STORAGE & NON-PAYMENT HANDLING

If goods are complete but payment or delivery acceptance is delayed by the Buyer, the Company may:

  1. Hold goods for up to 30 days from readiness date;

  2. Apply £50 + VAT per item per week storage (or actual commercial cost, if higher);

  3. After 30 days of non-payment/non-collection, treat the order as terminated, retain all monies paid, and dispose/resell the goods.


14. LIMITATION OF LIABILITY

  • The Company is not liable for indirect or consequential loss (including loss of profit, revenue, or business opportunity).

  • The Company’s maximum liability is limited to the contract value of the goods supplied.

  • Nothing limits liability for death/personal injury caused by negligence or for fraud.


15. NOTICES

Notices must be in writing and sent to the parties’ last notified email or business address. Email is deemed received on the business day sent (or next business day if sent outside business hours).


16. VARIATION, SEVERABILITY & ENTIRE AGREEMENT

  • Any variation must be in writing and signed/acknowledged by the Company.

  • If any provision is found invalid/unenforceable, the remainder remains in full force.

  • These Terms constitute the entire agreement and supersede all prior discussions.


17. GOVERNING LAW & JURISDICTION

This Agreement is governed by the laws of England & Wales. Disputes shall be handled exclusively by the English courts (Small Claims or County Court, as applicable).
